1. Acceptance of Terms

By accessing and using the DIOTI website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and DIOTI.

2. Services Overview

DIOTI provides technology consulting, software engineering, and global engagement services, including but not limited to:

  • Technology strategy and roadmap design
  • Custom software development (web, mobile, enterprise systems)
  • Offshore, nearshore, and contract staffing solutions
  • Digital transformation and system integration
  • Cloud architecture and DevOps services
  • Agile project management and consulting

Specific service terms, deliverables, timelines, and pricing are defined in individual project agreements or Statements of Work (SOW).

3. Eligibility

Our services are intended for businesses and organizations. You must be at least 18 years old and have the authority to enter into binding agreements on behalf of your organization. By using our services, you represent that you meet these requirements.

4. Service Engagement

4.1 Project Agreements

All projects are governed by formal agreements, including Statements of Work (SOW), Master Service Agreements (MSA), or other contracts. These documents outline project scope, deliverables, timelines, payment terms, and specific obligations.

4.2 Client Responsibilities

Clients agree to:

  • Provide timely information, access, and approvals necessary for project completion
  • Designate authorized representatives for decision-making
  • Review and approve deliverables within agreed timeframes
  • Make payments according to agreed schedules
  • Maintain confidentiality of proprietary information shared by DIOTI

5. Payment Terms

Payment terms are specified in individual project agreements. Standard terms include:

  • Payment schedules (milestone-based, time-and-materials, or fixed-fee)
  • Invoicing procedures and payment methods
  • Late payment penalties (typically 1.5% per month or maximum allowed by law)
  • Expenses and reimbursements (if applicable)

All fees are exclusive of applicable taxes unless otherwise stated. Clients are responsible for all taxes, duties, and government charges.

6. Intellectual Property

6.1 Client-Owned IP

Upon full payment, all custom-developed work product specifically created for the client becomes the client's property, subject to any third-party licenses or pre-existing IP rights retained by DIOTI.

6.2 DIOTI-Retained IP

DIOTI retains ownership of: (a) pre-existing methodologies, frameworks, and tools; (b) general knowledge and expertise gained during projects; (c) reusable components and templates not specific to client business logic.

6.3 Third-Party Licenses

Use of third-party software, libraries, or services is subject to their respective licenses. Clients are responsible for obtaining necessary licenses for any third-party components integrated into deliverables.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information disclosed during the engagement. Confidential information includes business strategies, technical specifications, source code, financial data, and any information marked as confidential. Non-Disclosure Agreements (NDAs) are available upon request.

8. Warranties and Disclaimers

8.1 Professional Services

DIOTI warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Software deliverables will substantially conform to agreed specifications for a period defined in the project agreement (typically 30-90 days post-delivery).

8.2 Disclaimer

EXCEPT AS EXPRESSLY STATED IN PROJECT AGREEMENTS, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIOTI'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY CLIENT FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM. DIOTI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY.

10. Project Changes and Termination

10.1 Change Requests

Changes to project scope, deliverables, or timelines require written change orders. Changes may affect project costs and schedules.

10.2 Termination

Either party may terminate an engagement according to terms specified in the project agreement. Upon termination, client is responsible for payment of all work completed and expenses incurred up to the termination date.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, acts of government, labor disruptions, pandemics, or internet/telecommunications failures.

12. Dispute Resolution

Any disputes arising from these Terms or service engagements shall first be addressed through good-faith negotiations. If unresolved, disputes will be settled through binding arbitration in accordance with the rules of the American Arbitration Association, or as specified in individual project agreements.

13. Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles. Specific project agreements may specify alternative governing law.

14. Modifications to Terms

DIOTI reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of modified Terms. Active project agreements remain governed by the Terms in effect at the time of execution.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
